Declaration Related to the California Marketing Compliance Law

Synthes, Inc. has developed, implemented and manages a comprehensive corporate compliance program designed to help us to maintain the highest professional and ethical standards in our industry. This program is consistent with the principles and guidance described in the Department of Health and Human Services, Office of Inspector General’s Compliance Program Guidance for Pharmaceutical Manufacturers. As a medical device manufacturer, Synthes’ compliance program includes the development and implementation of policies that are generally consistent with relevant guidance provided by the Pharmaceutical Research and Manufacturers Association Code on Interactions with Healthcare Professionals.
As of the date of this Declaration, Synthes believes that its United States operations are in substantial compliance with its comprehensive corporate compliance program, and that its corporate compliance program for its United States operations, including its policies, procedures and protocols, substantially satisfies the requirements of the California Health and Safety Code. This Declaration is made solely for the purpose of complying with California law. As a global organization, Synthes’ compliance program and efforts extend into and are governed by standards provided by many other jurisdictions, both within and outside of the United States, and this Declaration should not be construed as a statement related to compliance with any other law or regulation in any other jurisdiction.
